Far from it. That&#8217;s not how I roll.<\/p>\n<p>Instead, my reason for saying yes has to do with what I do.<\/p>\n<p><b>I specialize in helping people not lose money when they\u2019re buying a franchise<\/b><\/p>\n<p>One way I do that?<\/p>\n<p>By telling my clients and readers they must <a href=\"https:\/\/www.thefranchiseking.com\/find-a-franchise-attorney\">hire a franchise attorney for legal advice<\/a> before they move forward on the purchase of a franchise.<\/p>\n<p>That said, check out my reasons for being so darn insistent on this.<\/p>\n<h2>3 Reasons Why You Need Franchise Legal Advice From A Franchise Lawyer<\/h2>\n<p>What follows are 3 reasons why it&#8217;s <em>crucial<\/em> for you to hire a <a title=\"franchise lawyer\" href=\"https:\/\/www.franchiselawsolutions.com\/about-us\/charles-internicola\/\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">franchise<strong> attorney<\/strong><\/a>.\u00a0<\/p>\n<p>1. To understand potentially costly words.<\/p>\n<p>The &#8220;<em>costly<\/em>&#8221; words I\u2019m referring to are the ones that are scattered throughout the <a title=\"franchise disclosure document\" href=\"https:\/\/www.thefranchiseking.com\/franchise-buyers-dont-need-to-read-the-franchise-disclosure-document\">Franchise Disclosure Document<\/a> (<em>FDD<\/em>) and the actual Franchise Agreement (<em>contract<\/em>). They include alarming words, phrases and sentences related to franchise law. Like these:<\/p>\n<ul>\n<li>Continuous <strong>direct<\/strong> access<\/li>\n<li>Independently <strong>access<\/strong> a franchisee\u2019s entire computer<\/li>\n<li><strong>Verify<\/strong> compliance<\/li>\n<li>The <strong>Franchisee\u2019s<\/strong> responsibility<\/li>\n<li>Take <strong>reasonable<\/strong> steps<\/li>\n<li>The franchisor can <strong>refuse to<\/strong> <strong>renew<\/strong> a franchise<\/li>\n<li><strong>Good<\/strong> cause<\/li>\n<li>You alone are responsible for <strong>complying<\/strong> with all applicable<\/li>\n<li>Within a <strong>defined<\/strong> geographic area<\/li>\n<li><strong>Laws<\/strong> and regulations<\/li>\n<li>You will submit <strong>periodic<\/strong> reports, forms and records<\/li>\n<li>Liquidated <strong>Damages<\/strong><\/li>\n<li>Renewal <strong>Fees<\/strong><\/li>\n<li>You <strong>must<\/strong> comply<\/li>\n<li>We <strong>may<\/strong> require, as a condition of granting approval<\/li>\n<li><strong>We<\/strong> have the right to approve or disapprove a proposed<\/li>\n<li>location<\/li>\n<li><strong>Binding<\/strong> agreement<\/li>\n<li><strong>Termination<\/strong> of the Franchise Agreement<\/li>\n<\/ul>\n<p>In short, the words above may be just &#8220;<em>words<\/em>&#8221; to you now, but when they&#8217;re part of a contract you&#8217;ll need to sign, they are so much more. It&#8217;s why you need <strong>franchise legal advice<\/strong>.<\/p>\n<p><!-- \/wp:post-content --><\/p>\n<p><!-- wp:paragraph --><\/p>\n<p>2. Who &#8220;<em>told<\/em>&#8221; you that? I want a name and a phone number. Kidding.<\/p>\n<p>Actually, I&#8217;m not kidding.<\/p>\n<p>I <em>do<\/em> want to know who would say something like that. Why?<\/p>\n<p>Because they&#8217;re wrong.<\/p>\n<p>Of course you need to hire a franchise attorney.<\/p>\n<p>But wait. If someone does say that, if someone tells you that you don&#8217;t need a franchising lawyer, that person must have a reason for it.<\/p>\n<p>With that in mind, I&#8217;d like you to watch a video I put together&#8230;it&#8217;s about the importance of hiring a franchise attorney. It\u2019s not like it\u2019s negotiable<\/em>.\u201d<\/p>\n<p>Regardless if the franchise agreement is negotiable or not, let me make this perfectly clear\u2026<\/p>\n<p>You need to be protected by someone who\u2019s on your side\u2026who\u2019s on your \u201c<em>team<\/em>.\u201d Like your attorney.<\/p>\n<p>Simply put, the franchise attorney you hire works for you-not the <a title=\"franchisor and franchisee\" href=\"https:\/\/www.franchiselawsolutions.com\/blog\/the-franchisors-mindset-some-factors-that-franchisors-and-franchisees-should-consider\/\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">franchisor<\/a>. He gets paid the same whether you buy the franchise you\u2019re interested in purchasing or not. In other words, he doesn\u2019t have any skin* in the game. Instead, he&#8217;s there to give you legal advice about the business you may be about to invest in.<\/p>\n<p>*Franchise development representatives (<em>salespeople<\/em>) and <a title=\"franchising consultant\" href=\"https:\/\/www.thefranchiseking.com\/what-everybody-ought-to-know-about-franchise-consultants\">franchise consultants<\/a> (<em>brokers<\/em>) <b>do<\/b> have skin in the game. That\u2019s because the franchisor pays them a commission (<em>they receive 40-50% of the Franchise Fee<\/em>) if you sign the Agreement and send in the check.<\/p>\n<p>That said, the good ones encourage you to hire an experienced franchise lawyer. Period. But there\u2019s something else.<\/p>\n<p><!-- \/wp:paragraph --><\/p>\n<h2>Can A Franchise Agreement (Contract) Be Negotiated?<\/h2>\n<p>I\u2019m going to share a secret with you. When modifying the franchise agreement, we focus on negotiating terms to provide the franchisee with more protection including getting a Protected Area, for example<\/em>.\u201d<\/p>\n<p><strong>The bottom line?<\/strong><\/p>\n<p>You need a franchise lawyer to give you legal advice, even if someone tells you that \u201c<em>you don\u2019t need to spend your money on one<\/em>.\u201d<\/p>\n<p>3. Franchise lawyers have been exposed to a barrage of unique franchising situations.<\/p>\n<p>I\u2019m going to go out on a limb and say that this is (<em>probably<\/em>) the first time you\u2019ve bought a franchise.
