In addition, the principal regulation governing the pre-sale disclosure process is the Federal Trade Commission (FTC<\/em>) Franchise Rule, which federally mandates that a prospective franchisee<\/a> must be provided with the FDD at least 14 days before any contract is signed or any payment is made.<\/p>\n\n\n\n

However, Tennessee’s legal framework includes a Business Opportunity Act. It introduces a necessary compliance step for franchisors. <\/p>\n\n\n\n

And while the Act provides an exemption for franchise offerings that comply with the FTC Franchise Rule, this exemption is not automatic. <\/p>\n\n\n\n

To legally qualify for it, a franchisor is required to complete a one-time notice filing with the Tennessee Division of Consumer Affairs<\/a> and submit the associated fee. This proactive filing requirement distinguishes Tennessee from states with no filing obligations whatsoever.<\/p>\n\n\n\n

When it comes to the long-term franchisor-franchisee relationship, Tennessee does not have a specific franchise relationship law. <\/p>\n\n\n\n

This absence means that there are no state statutes dictating terms for critical issues such as termination, non-renewal, or the transfer of a franchise. The rights and duties of both parties concerning these matters are governed almost exclusively by the provisions laid out in the signed franchise agreement. Any disputes that arise during the course of the relationship are therefore resolved based on the contract’s language and the general principles of Tennessee’s contract law.<\/p>\n\n\n\n
