Franchising Law in Texas<\/h2>\n\n\n\n

Texas is classified as a non-registration state for franchises. <\/p>\n\n\n\n

This designation signifies that the state does not impose a requirement on franchisors to register or file their Franchise Disclosure Document (FDD) with any state-level administrative body. <\/p>\n\n\n\n

That said, the primary legal framework governing the pre-sale disclosure process is the Federal Trade Commission (FTC<\/em>) Franchise Rule, which establishes a national standard. This standard requires franchisors to provide prospective buyers with the FDD at least 14 days before a contract is executed or any funds are exchanged.<\/p>\n\n\n\n

While Texas does have a Business Opportunity Act<\/a> that regulates the sale of certain business ventures, most franchise offerings are exempt from its provisions. A common exemption applies to franchisors whose brand is associated with a federally registered trademark. <\/p>\n\n\n\n

Critically, unlike some other states with similar business opportunity laws, Texas does not require franchisors to make any notice filing or pay a fee to claim this exemption. So, if a franchise system meets the exemption criteria, it’s simply exempt from the Act’s requirements without any further state-level administrative action<\/a>.<\/p>\n\n\n\n

Regarding the ongoing relationship between franchisor and franchisee, Texas law does not provide for a specific franchise relationship statute. <\/p>\n\n\n\n

As a result, there are no state laws that specifically govern crucial aspects such as the termination, non-renewal, or transfer of a franchise. The rights, responsibilities, and procedures for these matters are dictated exclusively by the terms and conditions detailed within the franchise agreement itself. <\/p>\n\n\n\n

Consequently, any disputes that arise during the course of the franchise relationship are resolved based on the contract’s provisions and the general principles of Texas contract law.<\/p>\n\n\n\n
